Introduction

Maccabees Securities LLC (“Maccabees,” “we,” “our,” or “us”) is registered with the U.S. Securities and Exchange Commission (the “SEC”) as a broker-dealer and is a member of the Financial Industry Regulatory Authority, Inc. (“FINRA”) and the Securities Investor Protection Corporation (“SIPC”). Brokerage and investment advisory services and fees differ, and it is important for you to understand these differences. What investment services and advice can you provide me?

We do not offer services to retail investors. Maccabees is an institutional and issuer-facing broker-dealer. Our business is limited to: (i) underwriting and selling group participations in securities offerings; (ii) principal trading, where we buy and sell securities for our own account; (iii) placement agent services for private placements offered to institutional investors or investors that qualify under applicable exemptions, including FINRA Rule 5123; and (iv) merger & acquisition (“M&A”) advisory services. We do not open or maintain brokerage accounts for retail customers, do not hold retail customer funds or securities, and do not provide investment advice or recommendations to retail investors.

For institutional and issuer clients, we do not monitor investments on an ongoing basis, including with respect to frequency of review, unless we specifically agree to do so in a signed engagement letter. As an underwriter or selling group member, we act on behalf of the issuer in a securities offering; as a placement agent, we act as agent on behalf of a limited selection of issuers (“Issuers”) in the sale of private securities; and as an M&A advisor, we act on behalf of our client in connection with a specific transaction. Other firms may offer a wider range of services and securities, some of which might have lower costs.

What fees will I pay?

  • Underwriting and selling group participation: We are compensated by the issuer through underwriting discounts, selling concessions, or other fees, typically calculated as a percentage of the securities sold in the offering.
  • Principal trading: When we buy or sell securities for our own account, we may earn a markup, markdown, or spread on the transaction. This compensation is embedded in the price and is in addition to, or instead of, any commission.
  • Private placements: We are compensated by the Issuers with which we work, typically in the form of a percentage of the investment amount raised (a placement fee). You will not pay any fees directly to us. However, you may pay fees charged by the Issuer in which you invest, and you should carefully review the applicable offering documents to understand those fees.
  • M&A advisory: We are typically compensated by our client through a combination of retainer fees and a success fee payable upon consummation of a transaction, as set forth in the applicable engagement letter.

You will pay fees and costs whether the applicable transaction results in a gain or a loss. Fees and costs will reduce any amount of money you make over time. Please make sure you understand what fees and costs apply to your transaction or investment.

What are your legal obligations to me when providing recommendations? How else does your firm make money, and what conflicts of interest do you have?

When we provide a recommendation to you as an institutional customer, we must act in your best interest and not place our interests ahead of yours. At the same time, the way we make money creates some conflicts with your interests. You should understand and ask us about these conflicts, as they may affect the recommendations and services we provide to you. Here are some examples to help you understand what this means:

  • We receive underwriting discounts, selling concessions, and placement fees from Issuers, generally based on the amount of securities sold or capital raised. This creates an incentive for us to favor larger offerings or Issuers that generate greater compensation for us.
  • When trading as principal, we may hold an inventory position in a security. We have an incentive to sell securities from our own inventory, or to price transactions in a manner that benefits our own position.
  • We offer securities and services from a limited number of Issuers and engagements. There may be other opportunities available in the market that we do not offer and that may better suit your needs.
  • Our M&A advisory success fees are contingent on a transaction closing, which creates an incentive for us to encourage a transaction to be completed even if an alternative course of action, or no transaction at all, may be more beneficial to you.

How do your financial professionals make money?

Our registered representatives are generally compensated through a percentage of the fees, commissions, discounts, or concessions earned by the firm on the transactions or engagements they work on, including retainers and success-based compensation. This incentive compensation structure creates a conflict of interest, because our representatives have an incentive to increase the volume, size, or number of transactions and engagements in order to increase their own compensation.
